1. Agreement to These Terms

These Terms of Service ("Terms") constitute an agreement between you ("you," "your," or "customer") and Print Nexus ("Print Nexus," "we," "us," or "our").

These Terms apply to all visitors, customers, purchasers, and other users of the Print Nexus website and services.

By accessing or using the website, purchasing a product, submitting artwork, requesting personalization, or using any Print Nexus service, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, you should not use the website or purchase products or services from Print Nexus.

2. About Print Nexus

Print Nexus provides personalized print-on-demand products and related design services. Depending on the product and order requirements, products may be produced through a network of professional printing and production facilities located across the United States.

Print Nexus does not necessarily manufacture every product itself. Production may be assigned to an appropriate production partner based on factors such as product type, customization requirements, availability, destination, and fulfillment requirements.

3. Eligibility

You must have the legal capacity to enter into a binding agreement under the laws applicable to you in order to place an order with Print Nexus.

If you are placing an order on behalf of a business, organization, or another person, you represent that you have authority to act on behalf of that party and to bind it to these Terms.

4. Website Use

You agree to use the Print Nexus website only for lawful purposes and in accordance with these Terms.

You must not:

• Use the website for unlawful, fraudulent, or abusive purposes.
• Attempt to interfere with the operation, security, or functionality of the website.
• Introduce malicious software, viruses, harmful code, or other technologically harmful material.
• Attempt to gain unauthorized access to accounts, systems, data, or services.
• Use the website in a manner that infringes another person's rights.
• Misrepresent your identity or your relationship with another person or organization.

5. Products and Product Information

We make reasonable efforts to display product descriptions, images, specifications, dimensions, colors, and other product information accurately.

However, photographs and digital displays may not reproduce physical products exactly. Minor variations in color, texture, positioning, material appearance, or other characteristics may occur due to manufacturing processes, materials, displays, equipment, and production methods.

Product specifications may vary by product and may be updated from time to time.

Product availability is not guaranteed. We may discontinue, modify, restrict, or change the availability of products or product options at any time.

6. Pricing and Payment

Product prices are displayed on the website at the time of purchase. Prices may change without notice, but changes generally do not affect an order that has already been accepted unless required by applicable law or agreed with you.

You are responsible for providing accurate billing, payment, contact, and shipping information.

Payment must be successfully authorized or otherwise received before an order can proceed according to the applicable order process.

Applicable taxes, shipping charges, duties, fees, or other charges may apply depending on the order, destination, and applicable requirements.

7. Orders and Order Acceptance

Submitting an order through the website constitutes a request to purchase the selected products and services. An order confirmation does not necessarily mean that Print Nexus has accepted every aspect of the order for production.

Print Nexus may review an order before production, particularly where the order involves personalization, customer-supplied artwork, unusual specifications, content concerns, production limitations, or other circumstances requiring review.

We reserve the right to decline, cancel, or modify an order where reasonably necessary, including where:

• Product availability changes.
• There is an apparent pricing or product-information error.
• Required customer information is missing or inaccurate.
• The requested customization cannot reasonably be produced.
• The submitted content may violate applicable law or third-party rights.
• Fraudulent, abusive, or unauthorized activity is suspected.
• Production or fulfillment cannot reasonably be completed.

8. Personalized Products and Artwork Approval

Many Print Nexus products are made specifically for the customer and may include names, dates, messages, photographs, logos, graphics, artwork, colors, layouts, or other personalized elements.

Personalized orders may require artwork preparation and customer approval before production.

Where an artwork proof is required, Print Nexus will provide the proof for review before production begins.

Production does not begin until the required artwork has been approved.

The order may remain on hold while awaiting customer approval. There is no automatic expiration of the artwork-approval hold. The order may remain on hold until the customer provides the required approval or otherwise communicates with Print Nexus regarding the order.

Any production or delivery estimate applicable to a personalized order begins from the point at which the required artwork has been approved, rather than necessarily from the original date the order was placed.

Once artwork has been approved and production begins, changes, cancellations, or redesign requests may no longer be possible or may be subject to additional charges or other limitations.

9. Print Nexus Personalized Design Service

Customers may either provide finished artwork or ask Print Nexus to create a personalized design based on their idea and instructions.

When requesting design assistance, customers should provide as much useful information as possible, such as:

• Names and other personalized text.
• Dates, numbers, or other required information.
• Preferred colors or visual styles.
• Images, logos, or reference materials.
• Preferred wording and layout.
• Examples or references that communicate the desired look.

Print Nexus includes up to 3 design versions or revision attempts for a personalized design request, unless a different arrangement is expressly agreed upon.

The included revisions are intended to refine the original concept and instructions supplied by the customer. A substantially different concept, entirely new direction, or request outside the original scope may require additional review before Print Nexus proceeds.

The final design remains subject to customer approval where an artwork proof is required.

10. Customer-Supplied Artwork

If you provide artwork, photographs, logos, graphics, text, trademarks, illustrations, or other materials, you represent and warrant that you have the necessary rights, permissions, licenses, and authority to use those materials for the intended order.

You are responsible for ensuring that your submitted materials do not infringe copyright, trademark, privacy, publicity, contractual, or other rights belonging to another person or organization.

By submitting artwork to Print Nexus, you authorize us and our relevant production and fulfillment partners to reproduce, process, modify as technically necessary, transmit, and use that artwork solely as reasonably necessary to provide the requested product or service.

This limited operational permission does not by itself transfer ownership of your underlying artwork or intellectual property to Print Nexus.

11. Prohibited Content and Uses

Print Nexus may refuse to process or produce content that we reasonably believe may violate applicable law, infringe third-party rights, create safety concerns, or otherwise expose Print Nexus or its production partners to unreasonable legal or operational risk.

You may not use Print Nexus services to create or distribute products containing content that is unlawful, infringing, fraudulent, deceptive, threatening, or otherwise prohibited by applicable law.

If you believe content submitted for an order violates your rights, you may contact Print Nexus with relevant information so the matter can be reviewed.

12. Customer Responsibilities

You are responsible for:

• Providing accurate order and contact information.
• Providing accurate personalization details.
• Providing artwork that you are authorized to use.
• Reviewing artwork proofs carefully before approval.
• Providing timely responses when information or approval is required.
• Providing a complete and deliverable shipping address.
• Checking tracking and delivery information where provided.
• Following applicable laws and regulations when using our services.

Print Nexus is not responsible for problems caused by inaccurate, incomplete, outdated, or incorrect information supplied by the customer, except where applicable law provides otherwise.

13. Changes, Cancellations, and Order Holds

Because many products are personalized and made to order, cancellation and change options may depend on the stage of the order.

A customer may request a change or cancellation by contacting Print Nexus as soon as possible. We will determine whether the request can be accommodated based on the current status of the order.

Requests made before production may be easier to accommodate than requests made after artwork approval or production has started.

For personalized orders requiring proof approval, the order may remain on hold until approval is received.

14. Production and Fulfillment

Print Nexus uses a network of professional production and printing facilities across the United States.

The facility used for a particular order may vary depending on the product, customization, production requirements, availability, destination, and other fulfillment considerations.

Products are generally made to order. Production begins after all required information and artwork approvals have been received.

Production time and carrier transit time are separate stages. A shipping estimate does not necessarily include the time required to prepare and manufacture a personalized product.

Production and delivery estimates are estimates rather than guarantees unless expressly stated otherwise in writing.

15. Shipping and Delivery

Orders are shipped using available carrier and fulfillment services appropriate to the order.

Once an order has entered carrier transit, delivery timing may be affected by carrier operations, weather, holidays, peak periods, transportation disruptions, address issues, or other circumstances outside Print Nexus's reasonable control.

Where tracking is available, tracking information may be provided to the customer.

Customers are responsible for providing an accurate and complete shipping address. Additional costs or delays may result from an incorrect, incomplete, or undeliverable address.

16. Returns, Replacements, and Refunds

Because many Print Nexus products are personalized and made specifically for individual customers, return and refund eligibility may differ from that of standard, non-personalized merchandise.

If a product arrives damaged, defective, incorrect, or materially different from what was ordered, customers should contact Print Nexus promptly with the relevant order information and supporting photographs or other useful evidence.

Depending on the circumstances, Print Nexus may provide a replacement, reprint, refund, credit, or another appropriate resolution.

Nothing in these Terms is intended to remove or restrict any consumer rights that cannot lawfully be excluded or limited.

17. Intellectual Property

Unless otherwise stated, the Print Nexus website and its contents, including text, branding, logos, graphics, photographs, designs, layouts, page content, software, and other materials, are owned by or licensed to Print Nexus and are protected by applicable intellectual property laws.

You may access and use website content for personal and legitimate shopping purposes. You may not reproduce, distribute, modify, publish, sell, license, or exploit Print Nexus website content without appropriate authorization.

Customer-supplied artwork remains subject to the customer's rights and responsibilities as described in these Terms.

18. Customer Submissions

If you submit information, feedback, comments, suggestions, reviews, images, artwork, or other materials through the website or in connection with an order, you are responsible for ensuring that you have the right to submit those materials.

You grant Print Nexus the limited rights reasonably necessary to receive, process, store, reproduce, transmit, and use submitted materials for purposes connected with providing the requested services, fulfilling orders, providing customer support, and operating the business.

We do not claim ownership of your underlying customer artwork merely because you submitted it to us.

19. Third-Party Services

Print Nexus may use third-party services and providers to operate the website and fulfill orders. These may include ecommerce technology, payment processors, production partners, shipping carriers, analytics services, communications providers, and other service providers.

Your use of certain third-party services may also be subject to those providers' separate terms and policies.

Print Nexus is not responsible for the independent terms, policies, availability, or performance of third-party services, except to the extent responsibility cannot lawfully be excluded.

20. Privacy

Your use of the Print Nexus website and services is also subject to our Privacy Policy, which explains how personal information may be collected, used, stored, and disclosed.

By using our services, you acknowledge that personal information may need to be processed by Print Nexus, Shopify, payment providers, production partners, shipping providers, and other service providers as necessary to operate the store and fulfill orders, subject to applicable privacy requirements.

21. Electronic Communications

When you communicate with Print Nexus electronically, including by email, website forms, or other electronic methods, you consent to receiving electronic communications relating to your orders, account, requests, transactions, and other matters concerning our services.

Electronic communications may include order confirmations, artwork proofs, approval requests, shipping notifications, customer-service responses, policy notices, and other transactional communications.

22. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Print Nexus website and services are provided on an "as available" and "as is" basis.

We do not guarantee that the website will always be uninterrupted, error-free, secure, or available at all times.

We also do not guarantee that every product will always be available or that production or delivery will occur within a particular estimated timeframe.

Nothing in these Terms excludes or limits warranties, guarantees, or consumer protections that cannot lawfully be excluded or limited.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Print Nexus and its relevant service providers will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive losses arising from or related to your use of the website, products, or services.

This may include losses associated with delays, business interruption, loss of opportunity, loss of data, or other indirect consequences, except where such limitations are prohibited by applicable law.

Nothing in these Terms limits liability where doing so would be unlawful, including liability that cannot legally be excluded or limited.

24. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Print Nexus and its relevant service providers from claims, liabilities, losses, damages, costs, and expenses arising from your violation of these Terms, your unlawful use of the services, or your submission of content or artwork that infringes or violates another person's rights.

This provision does not apply to the extent that a claim results from conduct for which Print Nexus is legally responsible.

25. Events Outside Our Reasonable Control

Print Nexus will not be responsible for delays or failures caused by circumstances beyond our reasonable control, to the extent permitted by applicable law.

Such circumstances may include severe weather, natural disasters, transportation disruptions, labor disruptions, supplier interruptions, production equipment failures, utility outages, internet or technology disruptions, governmental actions, public emergencies, or other events that could not reasonably be prevented or controlled.

26. Governing Law and Disputes

These Terms are intended to be interpreted and applied in accordance with applicable law, while preserving any mandatory consumer protections that apply to you.

Any governing-law, jurisdiction, venue, arbitration, or dispute-resolution provision applicable to Print Nexus should be determined based on the legal structure of the business, where it operates, where customers are served, and the laws applicable to the relevant transaction.

27. Changes to These Terms

Print Nexus may update these Terms from time to time to reflect changes to our business, services, products, policies, legal requirements, or operational practices.

When we make changes, we may update the "Last Updated" date shown at the beginning of these Terms.

Your continued use of the website or services after updated Terms are posted may constitute acceptance of the updated Terms to the extent permitted by applicable law.

28. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue to apply to the extent permitted by law.

29. No Waiver

If Print Nexus does not immediately enforce a provision of these Terms, that does not mean Print Nexus has waived its right to enforce that provision later.

30. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent where such consent is required.

Print Nexus may transfer or assign its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, business transfer, or other legitimate business transaction, subject to applicable law.

31. Entire Agreement

These Terms, together with the policies and documents expressly referenced in them, constitute the agreement governing your use of the Print Nexus website and services with respect to the matters covered by these Terms.

Additional terms may apply to particular products, services, promotions, subscriptions, or other offerings where expressly communicated to you.
